THE ALIVE INSTITUTE / PRACTITIONER TERMS
Alive Leadership Practitioner
Certification Agreement
The terms for learning Alive, becoming certified, and using the assessment with leaders.
Draft for review · not approved for acceptanceNot approved for acceptance. Bracketed text is an open decision, a proposal, or a point for counsel. Remove this paragraph before use.
This agreement
1.1Parties. This agreement is between [The Alive Institute LLC, [ADDRESS]] ("Alive") and the individual who enrolls ("you"). If a firm pays for your enrollment, the firm is not a party unless it signs a separate agreement with Alive.
1.2Acceptance. You accept this agreement by selecting the required terms box at enrollment checkout, which links to this numbered version. The acceptance is recorded with the version, your account, and the date and time, and Alive sends you a link to that version, which stays unchanged. [ATTORNEY REVIEW: electronic acceptance, evidence, and consumer protections]
1.3What the agreement includes. This agreement consists of this main body, Schedules A to D, the Practitioner Guidelines at thealive.institute/practitioner-guidelines as in effect when you enroll, and each Enrollment Confirmation and order confirmation Alive sends you.
1.4Other documents. The Privacy Notice explains how Alive handles personal information and is not a contract. If the Practitioner Guidelines conflict with this agreement, this agreement governs. A schedule governs its own subject, and a confirmation governs the price, dates, and quantity it states.
1.5Changes. Alive may update this agreement for future enrollments. A change to your accepted agreement takes effect only if you accept it, except a change the law requires, which Alive will explain, and updates to Alive Materials under Schedule C. [PROPOSED: Alive may update the Practitioner Guidelines on [30] days' notice by email, and a change that reduces your rights takes effect only if you accept it.] [ATTORNEY REVIEW: incorporating a web page]
Terms used
"Assessment" means the Alive Leadership 360 or the Alive Leadership Self Assessment. "Leader" means the person an Assessment describes. "Rater" means a person invited to give feedback about a Leader. "Report" means the individual PDF report Alive produces for a Leader. "Enrollment Confirmation" means the email Alive sends to confirm your cohort and fee. "Practitioner Guidelines" means the page at thealive.institute/practitioner-guidelines, which sets out member-area rules and practical guidance. "Authorization" has the meaning in Section 4. "Business Day" is defined in Schedule B, "Alive Materials" and "Marks" in Schedule C, and "Supported Regions" in Schedule D.
Enrollment, learning, and certification
3.1Enrollment gives you access to the member area and the learning program described in Schedule A for your cohort. It does not authorize you to use Alive with clients.
3.2You become a Certified Alive Leadership Practitioner when Alive records that you have met the completion requirements in Schedule A. [ATTORNEY REVIEW: completion decision and review process]
3.3Certification is an Alive certificate. It is not an ICF credential. You must not say or imply that the program is approved by the ICF or any other body unless Alive has confirmed that status in writing, and then only in Alive's wording.
3.4Your submissions. You keep ownership of what you submit. [PROPOSED] You give Alive permission to use your submissions to review your work, give feedback, and keep the records this agreement describes. Alive does not use your submissions in marketing, testimonials, public examples, research, or AI tools without your separate permission. [ATTORNEY REVIEW]
Authorization to use Alive
4.1Grant. While your Authorization is active, Alive gives you a non-exclusive, non-transferable right to order Assessments from Alive and to use Reports and Alive Materials as this agreement describes, for developmental coaching with your own clients.
4.2Status. You may order Assessments and use the title Certified Alive Leadership Practitioner only while your Authorization is active.
4.3Personal to you. Authorization is personal to you. No one else, including an employee, associate, or contractor, may order Assessments or debrief a Report under your Authorization. Support staff may handle administrative work if they are bound by confidentiality terms at least as protective as this agreement, and you remain responsible for what they do. [ATTORNEY REVIEW: contractor and associate clause]
4.4Developmental use only. Use Assessments for development: coaching, feedback, and self-awareness. Do not use an Assessment or Report for hiring, promotion, dismissal, compensation, or any other selection decision, or for clinical diagnosis. Tell your clients this, and do not agree with a client organization to use Reports in that way.
4.5Where you may use Alive. Use Alive only with Leaders and Raters in the Supported Regions (Schedule D).
4.6Your practice. You are an independent professional. You are responsible for your coaching, your client relationships and contracts, your fees, your professional standards, and the insurance your practice needs. Alive is not your employer, partner, or agent.
Ordering Assessments
5.1You order Assessments only from Alive, by the process in Schedule B. Alive administers each Assessment through its assessment platform provider. You do not receive access to that platform or to Raters' responses.
5.2For each order, give Alive the information it asks for: the Leader's name and email, the Assessment edition, the start and end dates, and for a 360 each Rater's name, email, and relationship to the Leader. You confirm that the Leader has agreed to take part and has received Alive's participant notice before Alive contacts the Leader or any Rater.
5.3Alive invites the Leader and Raters, collects the responses, and produces the Report. Alive sends automated reminder emails to Raters during the rating window. You and the Leader are responsible for making sure invited Raters complete their ratings. You may encourage Raters with a general message to all of them. You must not collect responses yourself, ask a Rater what they said, or pressure anyone to respond or to change a response.
Reports and confidentiality
6.1Who receives a Report. Alive delivers each Report to the Leader and to the Leader's Practitioner. You hold each Report you receive in confidence and use it only for the coaching service you agreed with that Leader.
6.2Employers and sponsors. An organization or person that pays for or commissions an Assessment does not receive the Report, scores, comments, or Rater information because it paid. You may share a Report with anyone else, including the Leader's employer, only with the Leader's explicit, specific written permission, on Alive's authorization form or a form with the same content. The permission must name the recipient, the information, and the purpose. Sharing is voluntary, and a Leader may decline.
6.3Your client contracts. Your agreements with Leaders and with any organization that engages you must reflect Sections 4.4, 6.1, and 6.2.
6.4Rater confidentiality. Do not try to identify who gave a particular rating or comment, ask anyone else to do so, or encourage the Leader to do so.
Data protection
Schedule D sets out who is responsible for which personal information, including Alive's assessment and certification records and your own coaching records. Each of us complies with the data protection laws that apply to our own handling of personal information.
Term, suspension, and ending
8.1This agreement starts when you accept it and continues until it ends under this section.
8.2Either of us may end it on [30] days' written notice. Email is enough.
8.3Alive may restrict or suspend your member access, ordering, or Authorization if there is a credible security threat, a serious confidentiality breach, unlawful use, misuse of Reports or Alive Materials, or another material breach. Where practicable, Alive will explain the concern and give you a chance to respond or fix it first. Where delay would increase harm, Alive may act first and explain promptly. Alive lifts the restriction when the concern is resolved.
8.4If Alive has already invited Leaders or Raters for an order when this agreement ends, Alive will complete those Assessments and deliver the Reports, unless the law, security, or a Leader's request requires otherwise. If the reason for ending is your misuse of Reports, Alive may deliver to the Leader and not to you.
8.5When this agreement ends, your Authorization ends. You must stop ordering Assessments, stop using the title, and stop using the Marks within [30] days. Delete the Alive Materials you downloaded, except materials you have already delivered to clients and your own copies of Reports. You must keep protecting Reports you hold under Section 6 and Schedule D. Sections 6, 8.5, 9, and 10 continue after the agreement ends.
Liability
9.1Alive provides Assessments, Reports, and learning materials for developmental use. Alive does not promise that they will produce any particular result for you or your clients. [ATTORNEY REVIEW: warranty disclaimer wording]
9.2Neither of us is liable to the other for indirect or consequential loss, including lost profits and lost business. [ATTORNEY REVIEW]
9.3[Each of our total liability under this agreement is limited to the greater of (a) the fees you paid Alive in the 12 months before the claim and (b) [$ FLOOR AMOUNT].] [ATTORNEY ADVICE: amount, whether mutual, insurance alignment]
9.4The limits in 9.2 and 9.3 do not apply to breach of Section 6 or Schedule D, misuse of Alive Materials or the Marks, fraud or willful misconduct, or any liability the law does not allow to be limited. [ATTORNEY ADVICE: exclusions, and whether they apply to both of us]
General
10.1Assignment. You may not assign this agreement. Alive may assign it to a successor to its business, and will tell you. [ATTORNEY REVIEW]
10.2Notices. Notices go by email: to the address in your account for you, and to support@thealive.institute for Alive, or to an updated address either of us gives.
10.3Governing law and disputes. [PROPOSED: Maryland law governs. Before starting a court action, each of us will give written notice and try in good faith to resolve the matter for [30] days. Claims then go to the state or federal courts in Maryland.] [ATTORNEY REVIEW: choice of law and forum, mandatory consumer and privacy protections in the Supported Regions] Nothing here limits your right to complain to a regulator or any right the law does not allow to be waived.
10.4Whole agreement. This agreement, with the Practitioner Guidelines, is the whole agreement on its subject. If a provision is unenforceable, the rest continues. A delay in enforcing a right is not a waiver of it. [ATTORNEY REVIEW]
Offer and cohort terms
A1The program. The program has twelve instructional hours: three preparation modules, four live sessions, and two reciprocal partner meetings. Alive publishes your cohort's details before you enroll and repeats them in your Enrollment Confirmation.
A2Fees. The standard certification fee is currently $1,500 and may change for future enrollments. The First 50 certification fee is $750, offered only while First 50 places remain. Your Enrollment Confirmation states the fee that applies to you, and that fee is due at enrollment. You pay by card at checkout.
Certification includes your own personal Alive Leadership Self Assessment at no additional charge. Alive tells you when to complete it, ahead of the first session.
A3The First 50. The First 50 are the first fifty practitioners to complete certification. Alive reserves places in the order people enroll. Your place is released if you withdraw, defer, or do not complete the program. The First 50 designation and the First 50 assessment rates go only to practitioners who complete certification within the first fifty. If fifty practitioners have completed before you do, you become certified at the price you paid, without the First 50 designation or the First 50 assessment rates. The certificate of a First 50 practitioner shows the First 50 designation and states that First 50 assessment rates apply under Schedule B.
A4Completion and certification. To complete the program you must: attend the four live sessions, or make up missed time as described below; submit the three preparation responses, each of which Alive marks Complete or Revise; take part in the practice blocks during the live sessions; complete both reciprocal partner meetings and describe them in Session 4; and finish by the completion deadline for your cohort. Alive decides readiness from your preparation responses and your participation. If an essential gap remains, Alive will tell you what it is and offer clarification, revision, or further practice before it decides. Your Authorization begins when Alive records completion.
Missed learning. If you miss live time, Alive arranges a make-up session or a planned equivalent.
A5Member access and support. Member access begins at enrollment and includes the resources and gatherings Alive makes available to your cohort. Alive answers questions about enrollment, orders, Reports, and using Alive at support@thealive.institute.
A6No annual renewal fee. The current offer has no annual practitioner renewal fee. Your Authorization continues while you meet this agreement. This does not promise lifetime access or that Alive will offer any resource, event, or Assessment indefinitely. A future fee or change to your terms takes effect only as Section 1.5 states.
A7Withdrawal, deferral, and refunds. If you withdraw at least 7 days before the first session, Alive refunds the fees you paid in full. If you give less notice, there is no refund. At any time before the first session you may instead defer once to a later cohort, and you keep the price you paid. Once the first session has begun, there is no refund and no deferral. Withdrawing ends your member access. If you do not complete the program, you do not receive certification. Nothing here limits any cancellation or refund right the law gives you. [ATTORNEY REVIEW: statutory cancellation rights in the UK, EU, and Canada]
A8Incomplete certification. If you have not completed by the completion deadline for your cohort, Alive does not award certification. [PROPOSED] Member access then ends unless Alive agrees otherwise. Alive may offer you a place in a later cohort on the terms then available. Alive does not promise to credit any earlier work.
A9Changes to a cohort. Alive may reschedule a session, change faculty, or cancel a cohort. [PROPOSED] If Alive cancels a cohort, or moves it so that you cannot attend, you may transfer to the next cohort or receive a refund of the fees you paid.
A10ICF. Alive does not promise ICF credit for any cohort. If credit is approved for your cohort, Alive will say so and state credit hours only as approved.
Orders, pricing, and delivery of reports
B1Prices. The Alive Leadership 360 costs $300 and the Self Assessment costs $150, in US dollars before taxes. The First 50 rates are $195 and $75. They apply to a practitioner whose certificate shows the First 50 designation, for orders Alive confirms on or before 31 December 2027. After 31 December 2027, the standard price list applies to new orders.
B2Orders. Order through [ORDER FORM OR PAYMENT LINK]. Each order covers one named Leader and one Assessment edition, and states the start and end dates you choose. Alive sends an order confirmation by email that states the price and the dates. The price in the order confirmation is fixed for that order, and a later price change does not alter it. Alive may decline an order if your Authorization is not active, if a Leader or Rater is outside the Supported Regions without approval, or if the details are incomplete.
B3Payment. You pay by card at checkout through Stripe, Alive's payment provider. Alive sets up an Assessment only after it has received payment for that order. Alive adds taxes where the law requires. [ACCOUNTANT/ATTORNEY: taxes]
B4Resale. Order Assessments only for Leaders you coach.
B5Cancellation. You may cancel an order for a full refund before Alive sets up the Assessment. After setup, there is no refund.
B6Delivery of reports. Alive will deliver each Report to the Leader and to the Leader's Practitioner within two (2) Business Days after the collection period for a 360 closes, or after a Self Assessment is submitted. The collection period for a 360 closes on the end date you give Alive for that Assessment. The period does not run while Alive is waiting for information it needs from the Leader or the Practitioner, or is prevented from delivering by circumstances beyond its reasonable control. "Business Day" means a day other than a Saturday, Sunday, or U.S. federal holiday. [ATTORNEY REVIEW: remedy for late delivery]
B7What a Report shows. A Report shows results under Alive's reporting rules. A rater group needs a minimum number of responses to be shown. You and the Leader are responsible for making sure invited Raters respond. Alive gives no credit, refund, or extension when too few Raters respond.
B8Corrections. Alive will correct an error it made in a Report at no charge while it still holds the data needed to do so.
Alive Materials and Marks
C1Alive Materials. "Alive Materials" means the Alive framework and its presentation, Assessment items and content, the design, content, and guidance of Reports, training materials, resources in the member area, sample reports, client materials, software and tools, and their updates. Alive and its licensors keep all rights in Alive Materials.
C2License. While your Authorization is active, Alive gives you a non-exclusive, non-transferable, non-sublicensable right to use Alive Materials for your own coaching with Leaders and to conduct debriefs.
C3Using resources. You may view, download, and print member-area resources for your own use. Do not reproduce or adapt them, and do not share them with clients unless a resource is labeled for client sharing, and then only within the stated scope and with required notices intact.
C4Restrictions. Do not copy, publish, or reproduce Assessment items or scoring methods. Do not reverse engineer Alive's software or tools. Do not create a competing assessment from Alive Materials. Do not sell access to the member area or resell or sublicense Alive Materials. Do not remove notices from Alive Materials or present them as your own. Do not upload Alive Materials, Reports, or Rater comments to an AI service. This does not limit any use the law requires Alive to permit.
C5Marks and the title. "Marks" means the Alive name and logos, the title Certified Alive Leadership Practitioner, and the First 50 designation. While your Authorization is active, you may use the title to say that you are authorized to use Alive. You may use the First 50 designation only if your certificate shows it. Follow Alive's brand guidelines [TO BE PROVIDED]. Do not use the Marks in your business name, domain name, or product name, and do not imply endorsement, partnership, or employment by Alive.
Data responsibilities
D1Scope. This schedule covers personal information in connection with Assessments and certification. Responsibility depends on the activity.
D2Who decides what. Alive is responsible for the personal information in assessment administration (invitations, collection, scoring, Report production, and delivery), in certification and learning records, and in research on de-identified data. Alive's assessment platform provider hosts collection for Alive. You are responsible for your own coaching records, including the Reports you hold. If an organization engages you, you and the organization are responsible for that engagement. [ATTORNEY REVIEW: confirm roles by activity and the terms used in each region]
D3What Alive does. Alive gives Leaders and Raters its participant notice before collection and responds to requests about its own records.
D4What you do. You give each Leader Alive's participant notice before you order, confirm the Leader has agreed to take part, and supply accurate contact details. You obtain the Leader's explicit, specific permission before sharing a Report with anyone else (Section 6.2). You give your clients your own privacy information about your coaching records and comply with the laws that apply to your coaching.
D5Protecting Reports you hold. Keep Reports secure and reachable only by you and authorized support staff, with reasonable safeguards for the accounts and devices that hold them. Do not forward them to anyone not permitted by Section 6 or use them in demonstrations or marketing. Delete them when you no longer need them for the coaching service, subject to any professional record-keeping duty you have.
D6Supported Regions. Alive supports Leaders and Raters located in the United States, Canada, the United Kingdom, and the European Union ("Supported Regions"). For a Leader or Rater elsewhere, get Alive's written approval before you order. Alive may decline or may require additional terms. [ATTORNEY REVIEW: Supported Regions scope]
D7Retention. Alive deletes or irreversibly de-identifies raw identifiable assessment responses 90 days after it delivers the Report. Alive keeps Reports it holds and routine assessment administration data for up to [12] months from [REPORT DELIVERY]. Alive keeps de-identified quantitative data for long-term validation and research. Written comments are not included in that dataset, and Alive keeps no key that links it to individuals. Alive's Privacy Notice states the retention periods for its other records, including learning, certification, payment, and member records. Alive may suspend deletion for a legal hold. [ATTORNEY REVIEW: de-identification standard, research basis, notice wording]
D8Organizations that pay or commission. An organization that engages you is your client. Before you order for Leaders in an organization, confirm that the organization has completed its own internal approvals, including any employee representative or works council process that applies. An organization that wants to buy from Alive directly needs a separate agreement with Alive. [ATTORNEY REVIEW]
D9Requests from individuals. If a Leader or Rater asks you about their assessment data, send the request to support@thealive.institute promptly and do not respond for Alive. You handle requests about your own coaching records.
D10Providers and locations. Alive uses service providers under written terms. Alive's Privacy Notice names them and says where they handle information. [ATTORNEY REVIEW: transfer safeguards, and whether to attach controller-to-controller transfer terms (EU standard contractual clauses and the UK addendum) for practitioners who receive Reports about EU or UK Leaders]
D11Incidents. Tell Alive without undue delay [and in any event within [48] hours], at support@thealive.institute, after you learn of a misdirected Report, an exposed file, a lost or compromised device or account that holds Reports, or any unauthorized access to assessment information. Give Alive the facts you have, preserve evidence, and cooperate. Do not notify Leaders, Raters, or regulators about information that came from Alive without coordinating with Alive, unless the law requires you to act sooner. Alive will tell you without undue delay [timing for counsel] when an incident affects Reports you received or Leaders you coach. Each of us handles the legal notification duties that apply to us. [ATTORNEY REVIEW: timing and triggers]
