THE ALIVE INSTITUTE / PRACTITIONER TERMS
Alive Leadership
Practitioner Agreement
The terms for learning Alive, becoming certified, and using its Profiles with leaders.
Version 1.0
This agreement
1.1Parties. This agreement is between The Alive Institute LLC ("Alive") and the individual who enrolls ("you").
1.2Acceptance. You accept this agreement by selecting the required terms box at enrollment checkout, which links to this numbered version.
1.3What the agreement includes. This agreement consists of this main body, Schedules A to E, and each order confirmation Alive sends you.
1.4Changes. Alive may update this agreement for future enrollments. A change to your accepted agreement takes effect only if you accept it, except a change the law requires, which Alive will explain, and updates to Alive Materials under Schedule C.
1.5Privacy Notice. Alive's Privacy Notice at thealive.institute/privacy-policy explains how Alive handles your personal information. It is a notice and not part of this agreement.
Terms used
"Profile" means the Alive Leadership 360 Profile or the Alive Leadership Self Profile. "Leader" means the person a Profile describes. "Rater" means a person invited to give feedback about a Leader. "Report" means the individual PDF report Alive produces for a Leader.
Enrollment, learning, and certification
3.1Enrollment gives you access to the member area and the learning program described in Schedule A for your cohort. It does not authorize you to use Alive with clients.
3.2Certification is an Alive certificate. It is not an ICF credential. You must not say or imply that the program is approved by the ICF or any other body unless Alive has confirmed that status in writing, and then only in Alive's wording. Alive does not promise ICF credit for any cohort. If credit is approved for your cohort, Alive will say so and state credit hours only as approved.
3.3Your submissions. You keep ownership of what you submit. You give Alive permission to use your submissions to review your work, give feedback, and keep the records this agreement describes. Alive does not use your submissions in marketing, testimonials, public examples, research, or AI tools without your separate permission.
Authorization to use Alive
4.1Grant. Alive gives you a non-exclusive, non-transferable right to order Profiles from Alive and to use Reports and Alive Materials as this agreement describes, for developmental coaching with your own clients (your "Authorization"). Your Authorization begins when Alive records that you have completed certification under Schedule A and ends when this agreement ends. You may order Profiles and use the title Certified Alive Leadership Practitioner only while your Authorization is active.
4.2Personal to you. Authorization is personal to you. No one else, including an employee, associate, or contractor, may order Profiles or debrief a Report under your Authorization. Support staff may handle administrative work if they are bound by confidentiality terms at least as protective as this agreement, and you remain responsible for what they do. Your Authorization does not allow you to train, certify, or authorize others to use Alive, or to teach the Profiles or Alive Materials as a course.
4.3Developmental use only. Use Profiles for development: coaching, feedback, and self-awareness. Do not use a Profile or Report for hiring, promotion, dismissal, compensation, or any other selection decision, or for clinical diagnosis. Tell your clients this, and do not agree with a client organization to use Reports in that way.
4.4Your practice. You are an independent professional. You are responsible for your coaching, your client relationships and contracts, your fees, your professional standards, and the insurance your practice needs. Alive is not your employer, partner, or agent. You have no authority to make commitments for Alive, including signing data agreements. Send any such request to support@thealive.institute.
4.5Confirming your status. Alive may confirm to anyone who asks whether you hold the certificate and whether your Authorization is active.
Ordering Profiles
5.1You order Profiles only from Alive, by the process in Schedule B. Alive administers each Profile through its assessment platform provider. You do not receive access to that platform or to Raters' responses.
5.2For each order, give Alive the information it asks for. You confirm that the Leader has agreed to take part and has received Alive's participant notice before Alive contacts the Leader or any Rater.
5.3Alive invites the Leader and Raters, collects the responses, and produces the Report. You and the Leader are responsible for making sure invited Raters complete their ratings. You may encourage Raters with a general message to all of them. You must not collect responses yourself, ask a Rater what they said, or pressure anyone to respond or to change a response.
Reports and confidentiality
6.1Who receives a Report. Alive delivers each Report to the Leader and to the Leader's Practitioner. You hold each Report you receive in confidence and use it only for the coaching service you agreed with that Leader.
6.2Employers and sponsors. An organization or person that pays for or commissions a Profile does not receive the Report, scores, comments, or Rater information because it paid. You may share a Report with anyone else, including the Leader's employer, only with the Leader's explicit, specific written permission, on Alive's authorization form or a form with the same content. The permission must name the recipient, the information, and the purpose. Sharing is voluntary, and a Leader may decline.
6.3Your client contracts. Your agreements with Leaders and with any organization that engages you must reflect Sections 4.3, 6.1, and 6.2.
6.4Rater confidentiality. Do not try to identify who gave a particular rating or comment, ask anyone else to do so, or encourage the Leader to do so.
Term, suspension, and ending
7.1This agreement starts when you accept it and continues until it ends under this section.
7.2Either of us may end it on 30 days' written notice. Email is enough.
7.3Alive may restrict or suspend your member access, ordering, or Authorization if there is a credible security threat, a serious confidentiality breach, unlawful use, misuse of Reports or Alive Materials, a breach of the member area rules in Schedule A8, or another material breach. Where practicable, Alive will explain the concern and give you a chance to respond or fix it first. Where delay would increase harm, Alive may act first and explain promptly. Alive lifts the restriction when the concern is resolved.
7.4If Alive has already invited Leaders or Raters for an order when this agreement ends, Alive will complete those Profiles and deliver the Reports, unless the law, security, or a Leader's request requires otherwise. If the reason for ending is your misuse of Reports, Alive may deliver to the Leader and not to you.
7.5When this agreement ends, your Authorization ends. You must stop ordering Profiles, stop using the title, and stop using the Marks within 30 days. Delete the Alive Materials you downloaded, except materials you have already delivered to clients and your own copies of Reports. You must keep protecting Reports you hold under Section 6 and Schedules D and E. Sections 6, 7.5, 8, and 9 continue after the agreement ends.
Liability
8.1Alive provides Profiles, Reports, and learning materials for developmental use. Alive does not promise that they will produce any particular result for you or your clients.
8.2Neither of us is liable to the other for indirect or consequential loss, including lost profits and lost business.
8.3Each of our total liability under this agreement is limited to the greater of (a) the fees you paid Alive in the 12 months before the claim and (b) $1,000.
8.4The limits in 8.2 and 8.3 do not apply to breach of Section 6 or Schedule D or E, misuse of Alive Materials or the Marks, fraud or willful misconduct, or any liability the law does not allow to be limited.
General
9.1Assignment. You may not assign this agreement. Alive may assign it to a successor to its business, and will tell you.
9.2Notices. Notices go by email: to the address in your account for you, and to support@thealive.institute for Alive, or to an updated address either of us gives.
9.3Governing law and disputes. Maryland law governs. Before starting a court action, each of us will give written notice and try in good faith to resolve the matter for 30 days. Claims then go to the state or federal courts in Maryland. Nothing here limits your right to complain to a regulator or any right the law does not allow to be waived.
9.4Whole agreement. This agreement is the whole agreement on its subject. If a provision is unenforceable, the rest continues. A delay in enforcing a right is not a waiver of it.
9.5Events beyond our control. Neither of us is in breach for a delay or failure caused by events beyond our reasonable control, such as a platform outage, a natural disaster, or a government action. This does not excuse an obligation to pay or to refund money.
Offer and cohort terms
A1The program and dates. Alive publishes the program, session dates, and completion deadline for your cohort before you enroll. The dates published when you enroll apply to you.
A2Included Self Profile. Certification includes your own personal Alive Leadership Self Profile at no additional charge. Alive tells you when to complete it, ahead of the first session.
A3The First 50. The First 50 are the first fifty practitioners to complete certification. Alive reserves places in the order people enroll. Your place is released if you withdraw, defer, or do not complete the program. The First 50 designation and the First 50 Profile rates go only to practitioners who complete certification within the first fifty. If fifty practitioners have completed before you do, you become certified at the price you paid, without the First 50 designation or the First 50 Profile rates. The certificate of a First 50 practitioner shows the First 50 designation and states that First 50 Profile rates apply under Schedule B.
A4Completion and certification. To complete the program you must: attend the live sessions, or make up missed time (Alive arranges a make-up session or a planned equivalent); submit the preparation responses, each of which Alive marks Complete or Revise; take part in live practice; complete the reciprocal partner meetings; and finish by the completion deadline for your cohort. Alive decides readiness from your preparation responses and your participation. If an essential gap remains, Alive will tell you what it is and offer clarification, revision, or further practice before it decides. You become a Certified Alive Leadership Practitioner when Alive records that you have met these requirements.
A5Withdrawal, deferral, and refunds. If you withdraw at least 7 days before the first session, Alive refunds the fees you paid in full. If you give less notice, there is no refund. At any time before the first session you may instead defer once to a later cohort, and you keep the price you paid. Once the first session has begun, there is no refund and no deferral. Withdrawing ends your member access. Nothing here limits any cancellation or refund right the law gives you.
A6Incomplete certification. If you have not completed by the completion deadline for your cohort, Alive does not award certification. Member access then ends unless Alive agrees otherwise. Alive may offer you a place in a later cohort on the terms then available. Alive does not promise to credit any earlier work.
A7Changes to a cohort. Alive may reschedule a session, change faculty, or cancel a cohort. If Alive cancels a cohort, or moves it so that you cannot attend, you may transfer to the next cohort or receive a refund of the fees you paid.
A8Member area rules. Your member access is personal to you, so do not share your login. Use fictional or sufficiently non-identifying examples in learning submissions, and do not include identifiable client, colleague, health, or other sensitive information. If you submit such information by mistake, tell Alive at support@thealive.institute. Faculty review your submissions, and submitting a response does not make it visible to other members. Keep confidential what a partner or another participant shares with you in practice. Use Alive's fictional case or a personal report you choose to share. Nobody has to disclose a personal report or add Raters to complete the practice. Treat other members with respect, and do not harass them, share their personal information, or use the member area to solicit business.
Orders, pricing, and delivery of reports
B1Prices. Alive publishes its standard prices where you order. If your certificate shows the First 50 designation, you pay $150 for the Alive Leadership 360 Profile and $75 for the Alive Leadership Self Profile, in US dollars before taxes, on orders Alive confirms on or before 31 December 2027. After that date the standard prices apply.
B2Orders. Order through the order link Alive gives you. Each order covers one named Leader and one Profile, and states the start and end dates you choose. Alive sends an order confirmation by email that states the price and the dates. Alive may decline an order if your Authorization is not active, if a Leader or Rater is outside the Supported Regions without approval, or if the details are incomplete.
B3Payment. Alive sets up a Profile only after it has received payment for that order. Alive adds taxes where the law requires.
B4Resale. Order Profiles only for Leaders you coach.
B5Cancellation. You may cancel an order for a full refund before Alive sets up the Profile. After setup, there is no refund.
B6Delivery of reports. Alive aims to deliver each Report to the Leader and to the Leader's Practitioner within two business days after the collection period for a 360 Profile closes, or after a Self Profile is submitted. The collection period for a 360 Profile closes on the end date you give Alive for that Profile.
B7What a Report shows. A Report shows results under Alive's reporting rules. A rater group needs a minimum number of responses to be shown. Alive gives no credit, refund, or extension when too few Raters respond.
B8Corrections. Alive will correct an error it made in a Report at no charge while it still holds the data needed to do so.
Alive Materials and Marks
C1Alive Materials. "Alive Materials" means the Alive framework and its presentation, Profile items and content, the design, content, and guidance of Reports, training materials, resources in the member area, sample reports, client materials, software and tools, and their updates. Alive and its licensors keep all rights in Alive Materials.
C2License. While your Authorization is active, Alive gives you a non-exclusive, non-transferable, non-sublicensable right to use Alive Materials for your own coaching with Leaders and to conduct debriefs.
C3Using resources. You may view, download, and print member-area resources for your own use. Do not reproduce or adapt them, and do not share them with clients unless a resource is labeled for client sharing, and then only within the stated scope and with required notices intact.
C4Restrictions. Do not copy, publish, or reproduce Profile items or scoring methods. Do not reverse engineer Alive's software or tools. Do not create a competing assessment from Alive Materials. Do not sell access to the member area or resell or sublicense Alive Materials. Do not remove notices from Alive Materials or present them as your own. Do not upload Alive Materials, Reports, or Rater comments to an AI service. Do not adapt, translate, or create derivative works of Alive Materials without Alive's written permission. If Alive approves a derivative work, Alive owns it. This does not limit any use the law requires Alive to permit.
C5Marks and the title. "Marks" means the Alive name and logos, the title Certified Alive Leadership Practitioner, and the First 50 designation. While your Authorization is active, you may use the title to say that you are authorized to use Alive. You may use the First 50 designation only if your certificate shows it. Follow any brand guidelines Alive provides. Do not use the Marks in your business name, domain name, or product name, and do not imply endorsement, partnership, or employment by Alive. Statements you make about Alive, certification, or the Profiles must be accurate. Do not claim results, credentials, or approvals that Alive has not confirmed.
Data responsibilities
D1Who is responsible for what. Alive is responsible for the personal information in Profile administration (invitations, collection, scoring, Report production, and delivery), in certification and learning records, and in research on de-identified data. Alive's assessment platform provider hosts collection for Alive. Alive gives Leaders and Raters its participant notice before collection and responds to requests about its own records. You are responsible for your own coaching records, including the Reports you hold. You give your clients your own privacy information about those records and comply with the laws that apply to your coaching. If an organization engages you, you and the organization are responsible for that engagement. Schedule E sets the data terms between Alive and you for Reports Alive delivers to you.
D2Protecting Reports you hold. Keep Reports secure and reachable only by you and authorized support staff. Use multi-factor authentication on accounts that hold Reports, and keep your devices encrypted and screen-locked. Do not send Reports over unsecured channels, forward them to anyone not permitted by Section 6, or use them in demonstrations or marketing. Delete them when you no longer need them for the coaching service, subject to any professional record-keeping duty you have. Keep your contact details with Alive current.
D3Supported Regions. Use Alive only with Leaders and Raters located in the United States, Canada, the United Kingdom, and the European Union ("Supported Regions"). For a Leader or Rater elsewhere, get Alive's written approval before you order. Alive may decline or may require additional terms.
D4Retention. Alive deletes or irreversibly de-identifies raw identifiable Profile responses 90 days after it delivers the Report. Alive keeps Reports it holds and routine Profile administration data for up to 12 months after it delivers the Report.
D5Organizations that pay or commission. An organization that engages you is your client. Before you order for Leaders in an organization, confirm that the organization has any approvals the law requires.
D6Requests from individuals. If a Leader or Rater asks you about their Profile data, send the request to support@thealive.institute promptly and do not respond for Alive. You handle requests about your own coaching records.
D7Incidents. Tell Alive at support@thealive.institute without undue delay, and in any event within 48 hours, after you learn of a misdirected Report, an exposed file, a lost or compromised device or account that holds Reports, or any unauthorized access to Profile information. Alive will tell you without undue delay when an incident affects Reports you received or Leaders you coach. Each of us handles the legal notification duties that apply to us.
Data terms for Reports
E1Roles. For the personal information in a Report that Alive delivers to you, Alive and you are each an independent controller, or the equivalent under the law that applies. Each of us decides how we use the information we hold, and neither of us processes it on behalf of the other.
E2Description of the information. The people concerned are Leaders and Raters. The information is names, email addresses, ratings, written comments, and the content of the Report. Alive delivers the Report so that you can use it to coach the Leader under Section 6.1. Delivery happens each time Alive delivers a Report. Alive keeps information as Schedule D4 states, and you keep Reports as Schedule D2 describes.
E3Your commitments. Use Reports only as Section 6 allows, and protect them as Schedule D2 requires. Do not sell or share personal information from a Report, as those terms are used in US state privacy laws, and do not combine it with other information to identify a Rater. Follow the privacy and data protection laws that apply to your coaching. Handle requests about your own records yourself, send requests about Alive's records to Alive under Schedule D6, and report incidents under Schedule D7.
E4Working together. Tell Alive promptly if you receive a complaint, a regulator inquiry, or a legal request for information about a Report Alive delivered to you, unless the law forbids it. Alive will do the same for you. Each of us will give the other reasonable help in answering such matters.
E5International transfers. This clause applies only when the personal information in a Report is subject to EU, UK, or Swiss data protection law and delivering it to you is a restricted transfer under that law.
(a)EU. The EU standard contractual clauses (Commission Implementing Decision (EU) 2021/914), Module One (controller to controller), apply, with Alive as data exporter and you as data importer, completed as follows. The optional docking clause (Clause 7) is not used. The optional language in Clause 11 is not used. Clause 17 Option 1 applies, and the clauses are governed by the law of Ireland. Under Clause 18(b), disputes go to the courts of Ireland. Annex I is completed by Section E2, the contact details in your account, and Alive's contact details in Section 9.2. Annex II is completed by Schedule D2.
(b)UK. The International Data Transfer Addendum to the EU standard contractual clauses, issued by the UK Information Commissioner's Office, applies, with Alive as exporter and you as importer. Its tables are completed from this Schedule and your account details.
(c)Switzerland. The clauses in (a) apply with these changes: references to the GDPR mean the Swiss Federal Act on Data Protection, references to the EU and to Member States mean Switzerland, and the supervisory authority and courts are the Swiss Federal Data Protection and Information Commissioner and the courts of Switzerland.
(d)If the clauses in this section conflict with the rest of this agreement, the clauses prevail.
E6Changes in the law. If the law requires a different transfer mechanism, Alive will explain it under Section 1.4, and you will cooperate in good faith to put it in place.
E7Priority. If this Schedule conflicts with another part of this agreement about personal information in Reports, this Schedule applies. Nothing in this Schedule makes Alive responsible for your coaching records (Schedule D1).
